WETYPE END USER LICENSE AGREEMENT

This End User License Agreement (this “Agreement”) is a legal agreement between you and WeType LLC (“WeType”) and governs the license and use of certain typeface font computer software programs, related webfont kits and app-embeddable font files (collectively, the “Font Software”) purchased and downloaded from WeType’s website located at wetype.co and/or provided by WeType under an applicable order, invoice or checkout confirmation (each, an “Order”). You and WeType may be referred to together herein as the “Parties,” and each, a “Party.”
YOUR DOWNLOAD, ACCEPTANCE AND USE OF THE FONT SOFTWARE CONSTITUTES YOUR AGREEMENT TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.
GENERAL TERMS (APPLICABLE TO ALL LICENSE MODULES)
- Order of Precedence; Modules; No Implied Licenses. This Agreement is modular. The license modules are: (a) Desktop; (b) Webfont; (c) App; and (d) Trial (each, a “Module”). The General Terms apply to all Modules you purchase or access. In the event of a conflict: the Order (including any addenda expressly incorporated therein) governs first, then these General Terms, then the applicable Module terms. Rights granted under one Module do not authorize uses governed by another Module absent a valid license for that other Module. No rights are granted by implication, estoppel or otherwise except as expressly set forth.
- Authorized Users; Contractors; Affiliates. You may permit your employees and individual contractors acting on your behalf under written agreements that protect WeType’s intellectual property at least as strictly as this Agreement (together, “Authorized Users”) to install and use the Font Software solely for your benefit and only within the scope and quantities (devices, users, domains, apps, traffic tiers) specified in the applicable Order. Font Software may not be stored or used in any manner that makes it accessible to the public or non-licensed third parties. Access by Authorized Users is permitted; any other third‑party access is prohibited.
- Ownership; No Reverse Engineering; Anti‑ML/AI. WeType and its licensors own all right, title and interest in and to the Font Software and all associated intellectual property. Except as expressly permitted herein, you will not: (i) modify, translate, adapt, or create derivative works of the Font Software; (ii) reverse engineer, decompile, disassemble or otherwise attempt to derive its source; (iii) remove or obscure proprietary notices; or (iv) rent, lease, lend, sublicense, assign, distribute, publish, or make available the Font Software or any features thereof to any third party. You may not use the Font Software, glyph outlines or substantial portions thereof to train, fine‑tune, evaluate or otherwise develop any machine learning or AI model, nor to generate derivative typefaces through automated processes.
- Format Conversion (Guardrails). Under no circumstances may you modify, adapt, translate, reverse engineer, decompile, disassemble, alter, or otherwise attempt to discover the source code of the Font Software or the designs embodied therein. Strictly for Authorized Users under a purchased Module, you may convert the Font Software to formats WeType supplies or approves (e.g., OTF/TTF for desktop, WOFF/WOFF2 for web, platform‑specific app bundles) provided that: (a) no additional characters or functionality are added; (b) embedded metadata is preserved; (c) files are obfuscated where supported; and (d) the converted files are secured and not distributed except as expressly permitted in the applicable Module.
- Updates. WeType may provide updates, bug fixes or new releases (“Updates”). Updates are optional unless expressly designated as security or compliance Updates. WeType may deprecate features upon reasonable prior notice and will not materially reduce licensed functionality during a paid term without providing a commercially reasonable alternative.
- Publicity; Confidentiality. WeType may use your name and, if applicable, your approved logo in its client lists in any manner, including in advertising, publicity or otherwise. WeType may list your name as a customer in a factual client list. Any use of your logos, trademarks or project details requires your prior written consent. Each Party will keep the other Party’s non‑public information (including pricing, usage data, audit results and Order terms) confidential and use it only for purposes of this Agreement.
- Audit; Telemetry; Overage/True‑Up. WeType may audit your compliance (including by requesting a certified usage report and, for Webfont/App, server log extracts) not more than once in any 12‑month period on 15 business days’ prior notice, during business hours, and subject to your reasonable security policies. WeType will keep audit information confidential. You will pay WeType’s reasonable audit costs only if material non‑compliance greater than 15% variance or unlicensed use is found. For Webfont/App tiers, if Unique Visitors/Unique Users exceed your purchased tier by more than 15% for three consecutive months, you will true‑up to the appropriate tier effective the first day of the next billing period; WeType may alternatively invoice overage at then‑current rates. WeType may provide (or require for certain tiers) a metering tag; you agree not to remove, obfuscate or falsify telemetry.
- Term; Termination; Post‑Termination Obligations. This Agreement begins on the date of your first download and continues unless terminated as provided herein. Either Party may terminate for material breach not cured within 30 days after written notice, or immediately upon a Party’s insolvency event. Upon termination (other than due to WeType’s uncured breach), you will cease use, distribution and installation, delete all Font Software and backups within 30 days and provide a certification of destruction. A sell‑off period of 60 days applies to pre‑printed physical inventory created before termination. For clarity, previously distributed non‑editable static assets (e.g., printed materials, exported video files) may continue to be used; web/app distribution must cease unless you hold a valid Webfont/App license.
- Warranties; Indemnities; Liability.
(a) WeType Warranties. WeType warrants that the unmodified Font Software will substantially conform to its published specifications and be free from malicious code at the time of delivery. EXCEPT AS EXPRESSLY SET FORTH, THE FONT SOFTWARE IS PROVIDED “AS IS” AND WITH ALL FAULTS AND DEFECTS WITHOUT OTHER WARRANTIES.
(b) WeType IP Indemnity. WeType will defend and indemnify you against third‑party claims alleging that your authorized, unmodified use of the Font Software infringes such third party’s U.S. copyright, trademark or patent rights, and will pay finally awarded damages or settlements WeType approves, provided you promptly notify WeType, allow WeType sole control of the defense and cooperation. WeType has no obligation to the extent claims arise from: (i) modification not made or approved in writing by WeType; (ii) combination or use with items not provided or contemplated by WeType; (iii) use outside scope or after WeType made available a non‑infringing update; or (iv) content you provide. As WeType’s sole obligation and your exclusive remedy, WeType may (A) modify the Font Software, (B) procure your continued right to use, or (C) replace the Font Software with a substantially equivalent non‑infringing item; if not feasible, WeType may terminate the affected license and refund prepaid fees for the remaining term (or a reasonable portion of a perpetual fee).
(c) Your Indemnity (Provided Materials). You will defend and indemnify WeType from third‑party claims arising from materials you provide to WeType for use with the Font Software, excluding claims covered by WeType’s indemnity.
(d) Limitation of Liability. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OR LOST PROFITS. Each Party’s aggregate liability under this Agreement will not exceed the greater of (i) the total fees paid by you to WeType under the applicable Order during the 12 months preceding the claim (or, for perpetual licenses, the total fees paid for the affected license), or (ii) $50,000. The foregoing cap does not apply to: (1) a Party’s indemnification obligations in this Section, (2) your payment obligations for properly due fees, or (3) a Party’s willful misconduct or fraud.
- Assignment; Governing Law; Venue; Injunctive Relief. You may not assign this Agreement except to an Affiliate or in connection with a merger, reorganization or sale of substantially all assets, provided the assignee agrees in writing to be bound. This Agreement, all Orders and Modules are governed by New York law (excluding conflict rules). The state and federal courts located in New York County, New York have exclusive jurisdiction; each Party consents and waives objections to venue and forum non conveniens. Either Party may seek injunctive relief or specific performance without posting a bond.
- Export; U.S. Government. You will comply with United States export control laws. The Font Software is “commercial computer software” and is licensed to U.S. Government end users with only the rights set forth herein.

LICENSE RESTRICTIONS (SUPPLEMENTAL – APPLY ACROSS MODULES)
Without limiting the General Terms: (i) no use as a web font or app unless you hold the corresponding Module; (ii) no distribution of Font Software to any third party other than as expressly permitted (e.g., transient to a printer/service bureau solely to output your document, with deletion thereafter); (iii) no removal or circumvention of copy protection; (iv) no training of ML/AI models; (v) no Alphabet Products, OEM hardware embedding or broadcast titling unless covered by a separate Order; and (vi) no conversion beyond Format Conversion guardrails. -
MISCELLANEOUS
Notices; Entire Agreement; Severability; Waiver. Notices are effective on personal delivery, overnight courier, or confirmed email to the addresses in the Order. This Agreement (including the Order and incorporated addenda) is the entire agreement between you and WeType and supersedes prior terms. If any term is deemed invalid, the remainder of the Agreement remains in effect. Failure to enforce is not a waiver.
Definitions (selected). “Domain” means the host name of a website’s home page together with its subdomains, as set forth in the Order. “Unique Visitor/User” means a distinct device/browser (for Webfont) or device/app account (for App) measured by mutually accepted analytics (e.g., GA4, server logs, App Store/Firebase). “Alphabet Products” means products whose primary value is the alphabet or glyphs themselves (e.g., stamps, stencils, die sets, lettering kits, signage kits), which require a separate license.
DESKTOP MODULE
- License Grant; Counting. Subject to this Agreement and the Order, WeType grants you a revocable (only for uncured material breach), limited, non‑exclusive, non‑transferable, non‑assignable (except as permitted in the General Terms), non‑sublicensable license to install and use the Font Software solely by Authorized Users on the number of devices purchased at checkout, for your internal business purposes, including the creation of static assets (print, rasterized images, and exported videos), and not for resale or redistribution of the Font Software itself.
- Agencies and Service Providers. If you are a design consultancy the ultimate end user should also purchase a license. If the Order specifies an End‑Client License with Agency Access, your agency/service providers may access the Font Software solely to create deliverables for you and must delete all copies upon project completion. If the Order specifies an Agency Production License, the agency may use the Font Software across multiple client projects but may not transfer Font Software to clients; clients who need font files must purchase a license.
- Embedding; Prohibited Editable Templates. You may embed subsetted Font Software into non‑editable electronic documents (e.g., PDF, ePUB) solely to enable viewing and printing; extraction must be technically restricted. You may convert text to outlines and include rasterized or vector outlines of text in static assets and exported videos. Distribution of editable templates, documents or files that allow end users to edit text using the Font Software is not permitted under this Module and requires a separate Creator/Template license. Using the Font Software as a web font or in an app requires the corresponding Webfont or App Module.
- Alphabet Products; OEM. This Module does not permit Alphabet Products or hardware embedding; separate OEM/licensing required.
WEBFONT MODULE
- Webfont License Grant. Subject to this Agreement, WeType grants you a limited, non‑exclusive, non‑transferable, non‑sublicensable license to self‑host and serve the Webfont to style text on the Licensed Domain(s) identified in the Order.
- Formats; Hosting; Protection. Only the WOFF/WOFF2 (and successor formats WeType provides/approves) may be used. The Webfont must be hosted from your servers or a reputable third‑party CDN engaged by you, provided access is domain‑locked, protected against hotlinking, not publicly listed, and the CDN is bound to protect the Webfont from download and redistribution. You must employ reasonable technical measures to prevent extraction (e.g., CORS, referrer checks, subsetting).
- Traffic Tiers; True‑Up; Metering. Your average monthly Unique Visitors across Licensed Domains must not exceed the tier purchased. If exceeded by more than 15% for three consecutive months, you will true‑up as set forth in General Terms §7. You will implement WeType’s metering script if required for your tier or, on request, provide reasonable log extracts.
- Editable Use; Forms. Web forms are permitted. Any online editor or template tool that allows end users to create designs with licensed fonts requires a Creator/Template add‑on.
APP MODULE
- App License Grant; Bundles. WeType grants you a limited, non‑exclusive license to embed the Font Software within the object code of the named Application(s) specified in the Order and distribute those Applications to end users. If the Order includes an App Bundle, the license covers up to the stated number of named apps across iOS/Android/other platforms sharing a codebase.
- Counting; MAU/Users. Your average monthly Unique Users (e.g., MAU) must not exceed the tier in the Order. True‑up and metering apply per General Terms §7.
- Editable Use; UGC. Static and dynamic rendering is permitted. Any end‑user design tools or template creation features require a Creator/Template add‑on.
TRIAL MODULE
- Trial Scope. WeType grants you a limited, revocable, royalty‑free trial license to install and use the trial Font Software on up to three (3) devices solely for internal evaluation and non‑commercial mockups. No external distribution (including logos) is permitted.
